Slide AR, LLC End User License Agreement (EULA)

Effective Date: April 5th, 2023

Please read this End User License Agreement ("EULA") carefully before downloading, installing, or using the Slide AR app ("App") developed by Slide AR, LLC ("us", "we", or "our"). By downloading, installing, or using the App, you agree to be bound by the terms and conditions of this EULA. If you do not agree with the terms and conditions of this EULA, do not download, install, or use the App.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the App on your iOS device for your personal, non-commercial use, subject to the terms and conditions of this EULA.

2. Restrictions

You agree not to:

• Copy, modify, adapt, or create derivative works of the App or any part thereof.
• Reverse engineer, decompile, or disassemble the App or any part thereof, except and only to the extent permitted by applicable law.
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or in the App.
• Transfer, sublicense, rent, lease, lend, or otherwise distribute the App to any third party.
• Use the App for any unlawful, infringing, defamatory, or fraudulent purposes.

3. Intellectual Property Rights

The App, including all its content, features, and functionality, is owned by Slide AR, LLC and is protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws. This EULA does not grant you any rights to our trademarks, service marks, logos, or any other intellectual property rights.

4. Termination

We may, at our sole discretion, terminate your license to use the App without notice if you breach any terms of this EULA or engage in any conduct that we believe is harmful to our interests or the interests of other users. Upon termination, you must cease all use of the App and uninstall it from your device. The provisions of this EULA that, by their nature, should survive termination shall survive termination, including, without limitation, intellectual property rights, warranty disclaimers, and limitations of liability.

5. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

6. Limitation of Liability

IN NO EVENT SHALL SLIDE AR, LLC OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SLIDE AR, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

7. Indemnification

You agree to indemnify, defend, and hold harmless Slide AR, LLC, its affiliates, licensors, and suppliers, and their respective officers, directors, employees, contractors, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the App, your breach of this EULA, or your violation of any third-party rights, including, without limitation, any intellectual property rights or privacy rights.

8. Governing Law and Jurisdiction

This EULA and any disputes arising out of or in connection with it shall be governed by the laws of the State of California without regard to its conflict of laws provisions. Any legal action or proceeding arising out of or in connection with this EULA shall be brought exclusively in the federal or state courts located in Delaware or California, at our discretion, and you hereby consent to the personal jurisdiction of and exclusive venue in such courts.

9. Changes to This EULA

We may update this EULA from time to time. If we make any material changes, we will notify you through the App or by other means, as required by law. By continuing to use the App after any changes to this EULA, you agree to the updated EULA.

10. General

This EULA constitutes the entire agreement between you and Slide AR, LLC concerning the use of the App and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the App. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any provision of this EULA shall be deemed a further or continuing waiver of such provision or any other provision.
